Registering a Company

COMPANY NAME REGISTRATION

Any business that wants to set up as a company must register with the Companies Division of MCIL. To do this, applicants are required to submit to the Registrar of Companies the following:

1. A formal letter
2. A completed Company Name Registration form

Below is the usual procedure of processing Company Name Registration Applications:

1. The Ministry (MCIL) receives the completed application for approval
2. Application is stamped with the received date
3. A Search is performed on the existing company name registrar. This is conducted to identify whether an existing company bears this name. Once the name search has been completed, the applicant is then informed of the outcome.
4. Rejection: If the application is not approved, the applicant or Law Firm acting on clients behalf is notified
5. Approval: A letter is prepared for the approval of the company name and Registration Fee
6. The Ministry will then receive the following Company Documents:
   • Certificate of Incorporation
   • Declaration of Compliance
   • Notice of Situation of Registered Office
   • Particulars of Directors/Secretary
   • Memorandum of Association
   • Articles of Association (Above documents are prepared by Law Firms or Proponents of the Company)
7. The Registration of Companies & Intellectual Property Division (RCIP) will check the above-mentioned documents
8. The Registrar signs the Certificate and enters the name of the Company into the registry and notes the Company Number
9. The Documents are stamped. The Company's documents are forwarded to the acting Law Firm, Original Documents are prepared and filed
10. A Register Sheet is then prepared for the Company and is filed
